Terms of Service

These Terms of Service (“Terms”) govern access to the B2 Filing website, client portal, and related consultancy services (“Services”). By creating an account, submitting a contact form, or paying an invoice, you agree to these Terms.
Who we are
B2 Filing is a business-formation and tax-filing consultancy. We prepare and coordinate filings with US (and, where offered, UK) authorities. We are not a law firm, certified public accounting firm, registered agent statutory office, bank, or the Internal Revenue Service. Nothing on the site is legal, tax, or immigration advice tailored to your facts unless we expressly agree in writing.
Eligibility and international clients
You must be at least 18 years old and able to enter a contract. We serve clients worldwide. You are responsible for complying with laws in your country of residence, including any restrictions on forming foreign companies or using international card payments.
Accounts and the client portal
You must provide accurate information and keep login credentials confidential. Orders, documents, invoices, and support tickets in the portal form the record of your engagement. You must not upload malware or documents you do not have the right to share.
Services and government action
Professional fees cover our preparation and coordination work as described on an order or invoice. State filing fees, registered-agent vendor fees, IRS processing, apostilles, and similar government or third-party charges are extra unless an invoice says otherwise. We do not control agency processing times, rejections, or name availability. Platform approvals (including Stripe, PayPal, Amazon, and banks) are decided solely by those companies.
Payments
Invoices are payable in US dollars via the payment methods we enable (currently card checkout through Stripe when configured). By paying, you authorize the charge for the stated amount. Chargebacks initiated in bad faith after we have performed work may result in account suspension and collection of the outstanding balance.
Refunds
Refunds are described in our Refund Policy. Government fees already remitted are generally non-refundable.
Intellectual property
Site content, branding, and portal software are owned by B2 Filing or our licensors. You retain rights in documents you upload. We may retain copies as required for compliance and dispute resolution.
Limitation of liability
To the fullest extent permitted by law, B2 Filing is not liable for indirect, incidental, or consequential damages, lost profits, or government delays. Our aggregate liability for a given order will not exceed the professional fees you paid us for that order.
Indemnity
You agree to indemnify B2 Filing against claims arising from inaccurate information you supply, unlawful use of an entity we helped form, or your breach of these Terms.
Termination
We may suspend access if invoices remain unpaid, if we reasonably suspect fraud, or if continuing would violate law. You may close your account by written request after outstanding invoices are settled.
Governing law
These Terms are governed by the laws of the State of Wyoming, USA, excluding conflict of law rules, unless a mandatory consumer law in your country of residence applies and cannot be waived. Courts located in Wyoming shall have exclusive jurisdiction, subject to those mandatory protections.
